1. Acceptance of Terms

By accessing or using Clutch Companion ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Clutch Companion is a web application that provides tools and utilities for Counter-Strike players, including lineup sheets, strategy planning, and related gaming content. The Service is currently in alpha stage and is provided on an "as is" and "as available" basis.

3. Account Registration and Security

3.1 Account Requirements

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access
  • Be at least 16 years of age

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Prohibited Content and Conduct

4.1 Content Restrictions

You agree NOT to upload, post, or transmit any content that:

  • Infringes intellectual property rights: Content that violates copyrights, trademarks, patents, or other proprietary rights of any party
  • Contains malware: Viruses, trojans, worms, or other malicious code
  • Is illegal: Content that violates any applicable laws or regulations
  • Is harmful: Content that is defamatory, obscene, pornographic, threatening, harassing, hateful, or discriminatory
  • Involves minors: Content that exploits or harms minors in any way
  • Is spam: Unsolicited advertising, promotional materials, or junk mail
  • Contains personal information: Private information of others without consent
  • Impersonates others: Content that misrepresents your identity or affiliation

4.2 Prohibited Conduct

You agree NOT to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) without permission
  • Reverse engineer, decompile, or disassemble the Service
  • Remove or modify any copyright, trademark, or proprietary notices
  • Frame or mirror any part of the Service without permission
  • Collect or harvest personal information about other users

5. Intellectual Property Rights

5.1 Your Content

You retain ownership of content you upload to the Service. However, by uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display your content solely for the purpose of operating and improving the Service.

5.2 Our Content

All content and materials available on the Service, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the property of Clutch Companion or its licensors and are protected by copyright, trademark, and other intellectual property laws.

5.3 Copyright Infringement

We respect intellectual property rights and expect users to do the same. We prohibit the upload of copyrighted content without authorization. If you believe your copyright has been infringed, please contact us at hello [at] goclutch.pro with:

  • Description of the copyrighted work
  • Location of the infringing content on our Service
  • Your contact information
  • A statement of good faith belief that use is unauthorized
  • A statement under penalty of perjury that the information is accurate
  • Your physical or electronic signature

6. Content Moderation and Removal

We reserve the right, but have no obligation, to:

  • Monitor, review, or remove any content at our sole discretion
  • Suspend or terminate accounts that violate these Terms
  • Remove content that violates these Terms or applicable laws
  • Cooperate with law enforcement authorities

We are not responsible for any failure or delay in removing content.

7. Third-Party Services and Links

The Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

Our Service uses Cloudflare for content delivery and security, and Supabase for database and authentication services. Your use of these services is subject to their respective terms and policies.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding accuracy, reliability, or availability of the Service
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding the quality of any content or information obtained through the Service

THE SERVICE IS IN ALPHA STAGE AND MAY CONTAIN BUGS, ERRORS, OR OTHER ISSUES. USE AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLUTCH COMPANION AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Business interruption or loss of goodwill
  • Any damages arising from your use or inability to use the Service
  • Any damages arising from unauthorized access to or alteration of your transmissions or data
  • Any damages arising from user content or conduct of third parties
  • Any damages arising from viruses, malware, or other harmful components

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR €100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Clutch Companion and its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content or conduct on the Service
  • Your violation of applicable laws or regulations

11. Data Location and Processing

Our servers are located in the European Union. By using the Service, you consent to the transfer, storage, and processing of your data in the EU and by third-party service providers (Cloudflare, Supabase) in accordance with our Privacy Policy.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

  • Violation of these Terms
  • Illegal or fraudulent activity
  • Harmful conduct toward other users or the Service
  • At our sole discretion

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that should reasonably survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may terminate your account at any time by contacting us or through account settings.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable member state where our servers are located, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in the EU member state where our servers are located, unless otherwise required by mandatory consumer protection laws.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last Updated" date
  • Sending an email notification (for significant changes)
  • Displaying a prominent notice on the Service

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clutch Companion regarding the Service and supersede all prior agreements and understandings.
